Pet Food Express Rewards™ Terms & Conditions

Welcome to the Pack!

Pet Food Express Rewards™ is a customer loyalty program offered by Pet Food Express, LLC ("Pet Food Express" or "Us"). Members earn points on eligible purchases to redeem for future discounts and access exclusive deals, such as Buy 3 Get the 4th Free. No purchase is necessary to join.

By joining Pet Food Express Rewards, you agree bound by these Pet Food Express Rewards Terms & Conditions ("Rewards Terms"), which governs your relationship with Pet Food Express as a Pet Food Express Rewards Member ("you" or a "Member"). Members must accept these Rewards Terms as a condition of enrollment, either when signing up (i) in-store via the pin pad at the cash register, or (ii) online through the Pet Food Express Rewards sign up flow.

BY ACCEPTING THESE TERMS, YOU REPRESENT AND WARRANT THAT YOU ARE AT LEAST 18 YEARS OLD AND HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THE TERMS AND TO ABIDE BY ALL OF THE REQUIREMENTS SET FORTH HEREIN. These Rewards Terms are subject to and include and incorporate Pet Food Express's Website Terms of Use and Privacy Policy, including the section titled "Notice of Financial Incentive."

ARBITRATION NOTICE: YOUR PET FOOD EXPRESS REWARDS™ MEMBERSHIP IS SUBJECT TO THE ARBITRATION CLAUSE INCLUDED IN SECTION TITLED "DISPUTE RESOLUTION, ARBITRATION" BELOW, WHICH STATES THAT YOU AGREE THAT DISPUTES BETWEEN US WILL BE RESOLVED BY MANDATORY BINDING ARBITRATION ON AN INDIVIDUAL-BASIS, AND YOU AND PET FOOD EXPRESS WAIVE ANY RIGHT TO PARTICIPATE A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. PLEASE REVIEW THIS SECTION CAREFULLY.

Pet Food Express may revise these Rewards Terms at any time in our sole discretion with or without notice to you. Unless a specific date is stated, changes will be effective immediately upon posting and the revised version will replace any prior versions in their entirety. THE UPDATED REWARDS TERMS WILL BE APPLICABLE TO ANY FUTURE DISPUTES BETWEEN THE PARTIES, REGARDLESS OF WHEN THE DISPUTED INTERACTIONS AROSE. YOUR CONTINUED PARTICIPATION AFTER WE POST CHANGES TO THESE REWARDS TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CLOSE YOUR REWARDS ACCOUNT. If any change to these terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions.

MEMBERSHIP

1.                  Enrollment Process

No purchase is necessary to join Pet Food Express Rewards. In addition to accepting the Rewards Terms, Customers must also provide a first and last name, email, and unique phone number to complete their enrollment and open their Pet Food Express Rewards ("Rewards ID"), therefore the phone number you provide at sign-up must be unique to each Rewards Account. Rewards Accounts are limited to one individual per account, and Pet Food Express reserves the right to terminate duplicate accounts without transferring points from the duplicate accounts to the remaining account.

Consent to Marketing Emails. At sign-up, Members also agree to receive (i) transactional emails about your Rewards Account, your purchases, and Pet Food Express Rewards, as well as (ii) promotional emails. You may opt-out of promotional emails at any time. If a Member opts-out of promotional emails, they will continue to receive transactional emails and informational emails related to their Pet Food Express Rewards membership.

Your membership will continue until you close your Rewards Account or until it is terminated by Pet Food Express in our sole discretion.

2.                  Earning Points

Rewards Members will earn 1 point credited to their Rewards Account for every $1.00 U.S. dollar spent on (i) in-store purchases merchandise, pet wash tokens, and gift cards and on (ii) www.petfood.express orders of merchandise and pet wash tokens when your credit card is charged, after any refunds or substitutions (a "Rewards Point").

From time to time, we may also offer special promotions where Members can earn points at different rates and/or for different actions, subject to the promotion's specific terms and conditions.

To earn Rewards Points on a purchase, the purchase must be linked to your Member ID in our system when the purchase is made. When shopping in a Pet Food Express store, you must provide your Rewards ID to the sales associate prior to completing the transaction. When shopping online at www.petfood.express, you must be logged into your Rewards Account prior to completing the transaction. After you complete your Pet Food Express Rewards enrollment, your future AutoDelivery orders will earn points upon fulfilment.

Points will not be earned:

·         Retroactively, for purchases made prior to joining Pet Food Express Rewards;

·         On amounts paid with a Pet Food Express Gift Card or Merchandise Card;

·         On cancelled/chargeback transactions;

·         On in-store purchases if a Member failed to enter their membership number when prompted at check-out;

·         On online orders if a Member failed to log in to their Pet Food Express Rewards Account prior to completing their transaction.

Any points previously earned on returns and refunds will be deducted from your Rewards Account. Redeeming Rewards

Members can redeem earned Rewards Points for discounts on their future purchases of merchandise and Pet Wash Tokens at a rate of $1.00 USD per 100 Rewards Points. Rewards Points will be converted automatically when your points reach 100, or increments of 100. Rewards Points cannot be redeemed for discounts on tax or delivery. Once a Rewards Discount is applied, the redeemed points will be deducted from your points balance accordingly.

Rewards Points are non-transferable and cannot be redeemed for cash. No credit or cash will be given for unused points. Points redemption discount may be combined with other discounts and special offers, unless prohibited by the specific terms of the other offer. Pet Food Express reserves the right to limit redemption of Rewards Points at any time for any reason.

To redeem Rewards Points for a discount on eligible purchases:

·         In-store, you must provide the phone number registered to your Rewards Account to the sales associate prior to completing the transaction.

·         Online at petfood.express, you must be logged into your Account prior to completing the transaction.

Rewards Points cannot be redeemed for discounts:

·         On sales tax, delivery fees, or delivery gratuity;

·         Retroactively to past purchases;

·         On purchases of Pet Food Express Gift Cards;

Rewards Points have no cash or other monetary value other than redeemable value set by Pet Food Express under these Rewards Terms.

3.                  Account Management

Members can check their account status and points balance in a few ways, including:

·         By logging into your Pet Food Express Rewards Account at any time. You must create an account first.

·         By asking an associate to pull up your account balance while shopping in one of our stores.

·         By contacting Customer Service.

Rewards Accounts and Rewards Points are not transferable and are not for sale, resale or barter. Pet Food Express reserves the right to verify a Member's identity related to a Rewards Account activity. All Rewards Account balances are based on Pet Food Express's internal transaction records.

If you believe there is an error in your Rewards Account balance or that your Rewards Account has been the subject of any suspicious activity, immediately contact Customer Service hello@PetFoodExpress.com for assistance. For verifiable theft of points, Customer Service may reinstate points in their sole discretion.

4.                  Third-Party Marketplaces

At this time, Rewards points cannot be earned or redeemed for purchases made on third-party marketplaces, such as Amazon, DoorDash, Instacart, and UberEats.

5.                  Account Inactivity, Point Expiration

Pet Food Express will consider your Rewards Account inactive if no new transactions or point activity can be linked to the account. If your Rewards Account remains inactive for 12 consecutive months, your account balance will be forfeited and reset to zero. Points forfeited for inactivity cannot be recovered

If you have questions regarding the date of your last Rewards Point activity or your last purchase, check your Rewards page. If you do not have a www.petfood.express account or feel your Rewards Points have been expired in error, please email Customer Service at hello@PetFoodExpress.com for assistance.

6.                  Buy 3 Get the 4th Free Discount & Other Member-Exclusive Benefits

Our Buy 3 Get the 4th Free ("B3G4F") discount is offered exclusively to Rewards Members.

Rewards Members can mix and match 4 qualifying items within the same category in a single transaction and get the lowest priced item for free! Discount is automatically applied to groups of 4 qualifying items, reducing each item's price in relative proportion equal to the original price of the lowest priced item. Rewards Member is responsible for sales tax on the subtotal. Subject to product availability at time of purchase. Qualifying returns for B3G4F items will be refunded in the amount equal to its discounted purchase price or may be exchanged for items of equal original price.

7.                  Returns & Exchanges

All purchases are subject to our Retail & Return Policy. Please review our full Retail & Return Policy for more detail.

Returns of merchandise purchased with a Rewards Point redemption discount will be for the price actually paid after applying the discount, and the previously Rewards Points will be reinstated to your Rewards Account. Exchanges or refunds to Merchandise Cards for store credit will be credited for the full transaction value including the amount of the instant discount, and no Rewards Points will be reinstated.

ACCOUNT CLOSURE AND TERMINATION

8.                  Member Cancellation

You can close your Rewards Account at any time for any reason either online when you are logged into your Rewards Account or by contacting hello@PetFoodExpress.com.

When you close your Rewards Account, you will:

·         immediately forfeit all previously accrued or redeemed Rewards Points;

·         no longer accrue new Rewards Points on your purchases;

·         no longer have access to Pet Food Express Rewards Member promotions, such as the Buy 3 Get the 4th Free promotion; and

·         your online Rewards Account will be closed.

You will still be enrolled in marketing communications, unless you previously opted out.

9.                  Reopening Closed Account, Balance Reinstatement Conditions

If you close your Rewards Account, you can reopen it anytime by contacting Pet Food Express Customer Service; provided you have not otherwise been found to have violated these Rewards Terms or another of our other policies. Rewards points in closed accounts are forfeited and cannot be reinstated, unless your request is made within 30 days of closure.

10.              Pet Food Express Termination

Pet Food Express reserves the right to exclude individuals from enrollment and suspend or revoke continuing membership in Pet Food Express Rewards, remove Rewards Points from a Member's Rewards Account and/or cancel orders for any reason in its sole but reasonable discretion, especially in situations where we become aware or suspect a violation or these Rewards Terms, abuse, fraud, misuse or gaming related to Rewards Points, or any other conduct detrimental to the interests of Pet Food Express. If your Membership is revoked or otherwise cancelled, any Points in your account will automatically expire.

DISPUTE RESOLUTION, ARBITRATION

11.              Informal Disputes, Customer Service Inquiries

If a dispute should arise between you and Pet Food Express, we want to provide you with a resolution that is efficient and cost effective. In our experience, almost all customer service disputes can be resolved to your satisfaction by our Customer Service team, reachable by emailing hello@PetFoodExpress.com or by calling 1-888-439-9059.

If your dispute cannot be resolved by working with our Customer Service team, these Terms describe how we shall proceed with the resolution of the dispute.

TO THE EXTENT PERMITTED BY APPLICABLE LAWS, YOU AND PET FOOD EXPRESS AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO PET FOOD EXPRESS REWARDS MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

12.              Legal Disputes; Arbitration; Class Action Waiver; Jury Trial Waiver

PLEASE READ THIS SECTION CAREFULLY - IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION AND TO HAVE A TRIAL IN FRONT OF A JURY.

NO CLASS ACTIONS: EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ITS RIGHT TO PARTICIPATE IN A CLASS OR COLLECTIVE ACTION AGAINST THE OTHER PARTY IN ANY DISPUTE OR PROCEEDING (WHETHER BASED ON CONTRACT, STATUTE, TORT, OR ANY OTHER THEORY). ALL CLAIMS MUST BE BROUGHT SOLELY IN A PARTY'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, REPRESENTATIVE ACTION OR PROCEEDING.

WAIVER OF JURY TRIAL: EACH PARTY HEREBY KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY AND ALL RIGHTS THEY MAY HAVE (INCLUDING BUT NOT LIMITED TO, THEIR CONSTITUTIONAL OR STATUTORY RIGHT TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JURY) TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING FOR ANY DISPUTES WHATSOEVER BETWEEN THE PARTIES, INCLUDING BUT NOT LIMITED TO, DISPUTES IN ANY WAY ARISING OUT OF OR RELATING TO THESE TERMS OR THE RELATIONSHIP OF THE PARTIES (WHETHER BASED ON CONTRACT, STATUTE, TORT, OR ANY OTHER THEORY).

This Agreement shall be governed by and construed in accordance with the laws of the State of California, excluding that body of law relating to conflict of laws. The parties agree that any controversy or claim arising out of or relating to this Agreement, or the breach thereof, will be settled by binding arbitration in accordance with California Code of Civil Procedure Section 1280 et seq., and the then current rules and procedures of the American Arbitration Association. The arbitration shall be a confidential proceeding, closed to the general public. The arbitration will take place in Contra Costa County, California and be conducted in the English language. The decision rendered by the arbitrator will be binding upon the parties hereto, and any judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. The parties consent to the jurisdiction of all federal and state courts in California. Venue will lie exclusively in Contra Costa County, California. For the sake of clarity, nothing in this paragraph shall affect Pet Food Express' ability to seek from a court injunctive or equitable relief at any time.

If any arbitration or other proceeding is brought to enforce or interpret the Rewards Terms or matters relating to it, the substantially prevailing party, as determined by the arbitrator's award, will be entitled to recover reasonable attorneys' fees and other costs and expenses incurred in such arbitration or proceeding from the other party, in addition to any other relief to which such prevailing party is entitled; provided that in no event will the arbitrator have the authority to award punitive damages.

Our failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

ADDITIONAL TERMS

13.              Indemnification

You agree to indemnify, defend and hold harmless Pet Food Express and its owners, and their respective officers, directors, employees, successors, and assigns for any and all against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Rewards Terms including, but not limited to your membership , any use of our website's content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from our website.

14.              Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OUR WEBSITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON OUR WEBSITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

15.              Disclaimer of Warranties

YOUR USE OF PET FOOD EXPRESS REWARDS (THE "PROGRAM") IS COMPLETELY VOLUNTARILY AND YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR OWN RISK. PET FOOD EXPRESS REWARDS IS PROMOTIONAL PROGRAM PROVIDED TO ENROLLED CUSTOMERS ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER PET FOOD EXPRESS NOR ANY PERSON ASSOCIATED WITH PET FOOD EXPRESS OR THE PROGRAM MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE PROGRAM'S COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY NOR THAT YOUR , ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE PROGRAM'S WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PROGRAM OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE PROGRAM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS. TO THE FULLEST EXTENT PROVIDED BY LAW, PET FOOD EXPRESS HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE RELATED TO THE PROGRAM. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

16.              Account Monitoring and Enforcement

We reserve the right to monitor all activity linked to or related to your Rewards Account in order to enforce these Rewards Terms, including investigating, pursuing legal action, cooperating with legal authorities, or otherwise acting on any information related to the violation of these Rewards Terms or any other Pet Food Express policy, infringement of legal rights, that may threaten safety, or may otherwise create liability. Pursue legal action, including involving law enforcement, for illegal or unauthorized Website use.

17.              Choice of Law/Forum Selection

These Terms shall be governed by and construed in accordance with the laws of the State of California, excluding its conflict of law rules. You further expressly consent and agree to submit to the exclusive jurisdiction and venue of a court of competent jurisdiction located in Contra Costa County, California.

18.              Severability

If any provision of this Agreement is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. This is the entire Agreement between you and Pet Food Express relating to the subject matter herein and supersedes any and all prior or contemporaneous written or oral agreements between you and Pet Food Express with respect to such subject matter. This Agreement may not be changed, waived or modified except by Pet Food Express as provided herein or otherwise by written instrument signed by Pet Food Express. Neither this Agreement nor any right, obligation, or remedy hereunder is assignable, transferable, delegable, or sublicensable by you except with Pet Food Express' prior written consent, and any attempted assignment, transfer, delegation, or sublicense shall be null and void. Pet Food Express may assign, transfer, or delegate this Agreement or any right or obligation or remedy hereunder in its sole discretion. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. Any heading, caption, or section title contained in this Agreement is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof
